Corporate Governance and Code of Conduct Manual
With approval of the Board, Thaioil published its Corporate Governance and Code of Conduct Manual (CG and Code of Conduct Manual). The current version is the fifth revision, consisting of CG principles, code of conduct, anti-fraud policy, and other relevant practical guidelines. The manual are distributed to the Board, executives, and employees of Thaioil and Subsidiaries. Upon receiving, they are required to study the content and summit the “Acknowledgment Form” in CG Reporting system, as a sign of commitment to adhere to CG policy and principles. They are also subjected to comply with code of conduct in regards to whistle-blowing measures and mechanisms as well as internal audit processes. If the Directors, executives, or employees violate the corporate governance principles, they will face strict disciplinary punishment. If it is suspected that they have violated any law, regulations, rules, and requirements laid down by the government sector, they will be handed to public officials for prosecution.

All superiors must lead in compliance with the corporate governance principles while promoting a proper work environment for employees and related parties to understand thatsuch compliance is the right thing to do |
